These Terms and Conditions (“Terms”) govern your use of www.amber-price.com and www.clarityacademy.ca (collectively, the “Site”), and apply to products, services, programs, and other offerings made available through or in connection with the Site.

The Site and its offerings are owned and operated by Amber S. Price, based in Niagara Falls, Ontario, Canada.

The Site provides access to physical and digital products, educational content, individual sessions, coaching and personal development programs, professional training and certification programs, memberships, courses, workshops, events, speaking and organizational services, and other related offerings.

By accessing or using the Site, purchasing a product or service, registering for a program or event, or otherwise engaging with an offering, you agree to these Terms and any additional terms presented to you in connection with a specific purchase, program, or engagement.

Nothing in these Terms is intended to limit any rights or remedies that cannot legally be limited or waived under applicable Ontario or Canadian law.

Intellectual Property

Unless otherwise stated, content and materials created or provided by Amber S. Price, including text, images, logos, branding, videos, documents, downloads, recordings, workbooks, exercises, educational resources, presentations, course materials, certification materials, frameworks, methodologies, and other original content, are owned by Amber S. Price or used with permission and are protected by applicable Canadian and international intellectual property laws. 

This includes materials associated with Clarity Academy, the Clarity Coaching Certification Program, The Clarity Method™ Somatic Practitioner Certification Program, and other proprietary educational programs, frameworks, and resources.

Purchasing or receiving access to content, a course, program, certification, workshop, or other offering does not transfer ownership of the intellectual property to the purchaser or participant.

Unless otherwise expressly permitted in writing, materials are provided for the purchaser's or participant's individual use and may not be copied, reproduced, modified, republished, distributed, sold, sublicensed, uploaded, shared, or used to create derivative training, courses, programs, or commercial materials.

Participants who complete a certification program may use the applicable certification title and materials only as specifically authorized under the terms of that certification program.

Nothing in these Terms prevents the lawful use of material where such use is permitted under applicable copyright or other law.

Age Requirements

The Site and its offerings are intended for individuals aged 18 and older. By using the Site, purchasing a product or service, or registering for a program or event, you confirm that you are at least 18 years of age. 

Certain services, programs, certifications, or other offerings may have additional eligibility requirements, which will be identified where applicable.

Accessibility & Accommodation

Amber Price is committed to providing services in a way that respects the dignity, independence, and individual needs of clients and participants. 

In-person sessions are offered in a private home setting in Niagara Falls, Ontario. Please be aware that the location is not fully accessible: there are three steps required to enter the home, and the available washroom requires an additional nine steps.

If these or other aspects of the location create an accessibility barrier for you, please contact us before your appointment. Where possible and appropriate, alternative arrangements may include a video or phone session, meeting at a mutually agreed-upon accessible location, or arranging an appointment at another suitable location.

Accommodation needs are considered individually, with the goal of finding a respectful and appropriate way for you to access the service.

If you require an accommodation related to disability or another protected ground, you are welcome to contact us to discuss your needs. Accommodation will be considered in accordance with applicable Ontario human rights requirements.

Acceptable Use

You agree to use the Site, its content, and its services lawfully and respectfully. 

You may not:

• Violate or infringe intellectual property, privacy, or other legal rights;
• Copy, distribute, or commercially exploit Site or program content except where expressly permitted;
• Use the Site or its services for fraudulent, deceptive, abusive, or unlawful purposes;
• Attempt to gain unauthorized access to accounts, systems, content, or restricted areas;
• Interfere with the Site's operation, security, or functionality; or
• Misrepresent your identity or your authorization to use our programs, certifications, intellectual property, or credentials.

We reserve the right to restrict or terminate access where we reasonably believe these Terms have been violated, subject to applicable contractual and legal obligations.

Sale of Goods and Services 

These Terms apply to all products, services, programs, events, and other offerings purchased through or in connection with this Site.

Physical goods may include:

• Apparel and merchandise, including hoodies, shirts, totes, mugs, and bottles
• Life’s QR products
• Physical books and workbooks
• Other physical products or materials

Digital products may include:

• Digital books, workbooks, and journals
• Downloadable resources and educational materials
• Online courses and digital learning content
• Other digital products and resources

Services and experiences may include:

• Clarity Sessions and Mediumship Sessions
• Grief & Life Transitions Sessions
• Somatic Support Sessions
• Clarity Coaching and Intuition Development Coaching
• Intuition Foundations Sessions
• Professional training and certification programs
• Courses, workshops, webinars, and memberships
• Group sessions, private groups, and events
• Speaking engagements, facilitated discussions, team-building experiences, and organizational workshops
• Other educational, wellness, intuitive, and personal or professional development offerings

Descriptions, images, schedules, formats, and other details are provided to help you understand each offering. Minor variations may occur where appropriate, particularly for customized, educational, group, or organizational experiences.

Please review the description, price, applicable policies, and other information provided before completing your purchase or registration.

We reserve the right to refuse or cancel an order, registration, or booking where reasonably necessary, including in cases of pricing or technical errors, suspected fraud, misuse of services, or circumstances that prevent us from fulfilling the offering. If we cancel an offering after payment has been processed and no alternative arrangement is agreed upon, applicable amounts paid for the cancelled offering will be refunded.

Subscriptions & Payment Plans

Subscriptions 

Subscriptions and memberships with recurring payments will continue according to the terms presented at the time of purchase until cancelled.

Where self-service cancellation is available, you may cancel through the applicable account or payment platform. You may also contact us at [email protected] for assistance with cancellation.

Cancellation of a subscription stops future recurring charges but does not ordinarily provide a refund for amounts already paid or for a current billing period that has already begun, except where otherwise stated or required by applicable law.

If a recurring payment cannot be processed, access to the applicable membership, platform, or service may be suspended or discontinued until payment is resolved.

Payment Plans

Payment plans offered for programs, certification programs, courses, or other services allow the total purchase price to be paid in installments.

A payment plan is not the same as a subscription and cannot necessarily be cancelled simply by stopping future payments. Any remaining payment obligations, cancellation rights, and refund eligibility will be outlined in the terms provided for the specific program or service before enrolment.

If an installment payment cannot be processed, access to the applicable program, materials, sessions, or online platform may be suspended while the payment issue is resolved, subject to the terms of the applicable agreement and applicable law.

Payments

We accept a variety of secure payment methods, which may include: 

• Credit and debit cards
• PayPal
• Google Pay or other digital wallet options where available
• Afterpay or other installment payment services where available
• Interac e-Transfer by prior arrangement
• Cash by prior arrangement

Available payment methods may vary depending on the product, service, program, event, or platform used to complete your purchase.

Prices are displayed in the currency indicated at the time of purchase. Applicable taxes, including HST where required, will be displayed or communicated as part of the purchase or booking process. Unless otherwise stated, prices are in Canadian dollars (CAD).

By providing payment information and completing a purchase, you authorize the applicable charges to your selected payment method.

Electronic payments are processed through third-party payment providers. Their own terms, privacy practices, and payment-processing policies may also apply.

We reserve the right to decline, cancel, or reverse a transaction where reasonably necessary, including in cases of suspected fraud, unauthorized payment, technical or pricing errors, or where a transaction may violate these Terms or applicable law. Where a transaction is cancelled by us and payment has been received for goods or services that will not be provided, the applicable amount will be refunded.

Shipping & Delivery

For physical goods requiring delivery, available shipping options and applicable shipping charges will be communicated at the time of purchase or arrangement. 

Estimated delivery times are provided as a guide and are not guaranteed. Delivery times may be affected by postal or courier delays and other circumstances outside of our control.

Customers are responsible for providing complete and accurate shipping information at the time of purchase.

Unless otherwise stated, customers are responsible for applicable:

• Shipping and delivery charges
• Duties, customs fees, or import charges for international orders
• Taxes or other charges imposed by the destination jurisdiction

If an order is returned or cannot be delivered because incorrect or incomplete shipping information was provided, additional shipping charges may apply if the order is resent.

If your order arrives damaged, defective, incorrect, or does not arrive, please contact us so the issue can be reviewed and addressed in accordance with the applicable return, refund, and consumer protection requirements.

Refunds, Returns & Cancellations

Goods 

Refund requests for physical goods must be made within 30 days of receipt and apply only where an item is defective or incorrect. Custom or personalized items are non-refundable, subject to any rights available under applicable law.

Individual Appointments

If you need to cancel or reschedule an individual appointment, please provide at least 48 hours' notice.

Appointments cancelled with at least 48 hours' notice may be rescheduled to another available date or refunded to the original method of payment upon request. Please allow 7–10 business days for refunds to be processed.

For a first late cancellation or missed appointment, unexpected circumstances may be considered, at my discretion, and an opportunity to reschedule without an additional fee may be offered.

Repeated late cancellations or no-shows may result in the appointment fee being forfeited, with a new payment required to book another appointment.

Appointments are non-transferable to another person unless approved in advance.

Group Events

Registration for a group event reserves an individual space for that participant.

Cancellations made at least 48 hours before the event may be transferred to another available event or refunded to the original method of payment upon request.

Cancellations made with less than 48 hours' notice, no-shows, and partial attendance are not eligible for refunds or credits. Exceptional circumstances may be considered individually at my discretion.

Private Group Bookings

Private group bookings reserve a dedicated date and time specifically for your group.

Cancellation or rescheduling requests should be made at least 7 days before the scheduled booking. Cancellations made with less than 7 days' notice may result in some or all of the booking fee being forfeited due to the time reserved for the group.

Specific payment, cancellation, and rescheduling terms will be provided and agreed to before the private group booking is confirmed.

Service Validity, Packages & Programs

Unless otherwise stated, all prepaid services and experiences purchased from Amber Price—including, but not limited to, individual appointments, shared experiences, Experience Gift Certificates, private group bookings, coaching programs, certification programs, packages, promotional offers, and other prepaid services—must be booked, redeemed, and completed within two (2) years of the original purchase date.

Any unused services, sessions, or experiences remaining after two (2) years will expire and be forfeited.

Extensions may be granted at Amber Price's sole discretion and must be confirmed in writing.

Unless otherwise stated, prepaid services, Experience Gift Certificates, packages, and programs are non-refundable and cannot be redeemed for cash.

Where a payment plan is offered, the terms provided at enrolment will also specify what happens to any remaining payments if a participant withdraws from the program.

Speaking, Workshops & Organizational Bookings

Speaking engagements, workshops, facilitated discussions, organizational bookings, and team-building experiences may require preparation, customization, reserved dates, travel arrangements, deposits, and other commitments.

Specific payment, cancellation, rescheduling, travel, and refund terms applicable to these services will be outlined in a separate booking agreement before the engagement is confirmed.

If Amber Price Cancels

If we need to cancel an appointment, event, program session, or engagement, we will make reasonable efforts to offer an alternative date where appropriate.

If an alternative arrangement cannot be made, payments made specifically for the cancelled service will be refunded, subject to the terms of any applicable program or organizational agreement.

Applicable Consumer Rights

These policies are intended to clearly communicate the terms that apply to purchases and bookings made through Amber Price. Nothing in these Terms is intended to limit or waive any rights or remedies available to consumers under applicable Ontario or Canadian law.

Confidentiality & Recordings

Confidentiality 

The privacy of clients and participants is important to us. Information shared during individual sessions is treated with care and confidentiality and will not be intentionally disclosed to others without your consent, except where disclosure is required or permitted by law or where other legal or safety obligations apply.

For group sessions, workshops, programs, and other experiences involving multiple participants, everyone is encouraged to respect the privacy and confidentiality of others. However, because other participants are present, we cannot guarantee that information shared within a group setting will remain confidential outside of that experience.

Organizational workshops, speaking engagements, and team experiences may have additional confidentiality expectations or agreements depending on the nature of the engagement.

Recordings

Clients and participants may not audio record, video record, photograph, screen record, livestream, or otherwise capture a session, program, workshop, presentation, or other experience without prior written permission.

If a recording is provided by Amber Price as part of a session, program, or other offering, it is intended for the recipient's personal use only unless otherwise stated in writing.

Recordings may not be shared, reproduced, published, distributed, sold, uploaded to social media or other platforms, or used for commercial purposes without prior written permission.

Any recording provided remains subject to applicable intellectual property, privacy, confidentiality, and usage terms.

Health & Professional Disclaimer

The services, programs, sessions, workshops, educational materials, and other offerings provided by Amber S. Price are intended to support clarity, self-awareness, personal growth, reflection, education, and wellbeing. 

These offerings are not medical care, psychotherapy, mental health treatment, legal advice, financial advice, or a substitute for services provided by appropriately qualified or regulated professionals.

While Amber's education, training, and professional experience may inform her approach, services provided through this business do not include the diagnosis, treatment, or management of medical or mental health conditions.

Somatic practices, wellness education, intuitive insight, coaching, mediumship, and other reflective or educational approaches offered through this business are intended to complement, rather than replace, appropriate professional care where needed.

You are responsible for determining whether an offering is appropriate for your individual circumstances and are encouraged to consult an appropriately qualified healthcare, mental health, legal, financial, or other regulated professional when necessary.

If at any time your needs fall outside the scope of the services offered, you may be encouraged to seek additional or alternative professional support.

In-Person Session Safety & Suitability

In-person sessions are offered in a private setting located within my family home. The safety, privacy, and comfort of clients, myself, and members of my household are important considerations when determining whether an in-person appointment is appropriate. 

I reserve the right to recommend or require a video or phone appointment instead of an in-person session where there are reasonable concerns related to safety, privacy, boundaries, conduct, or the suitability of the home environment for the appointment.

In certain circumstances, additional arrangements may be discussed before an in-person appointment is confirmed. Decisions regarding the format of a session are made based on the individual circumstances and safety considerations, and not on characteristics protected under applicable human rights legislation.

Clients attending in person are expected to respect the privacy of the residence, household members, property, and appointment environment. Behaviour that is threatening, harassing, inappropriate, or unsafe may result in the appointment being ended or future in-person services being declined.

Limitation of Liability

To the fullest extent permitted by applicable law, Amber S. Price will not be liable for any indirect, incidental, special, or consequential loss or damages arising from or related to the use of this Site or participation in, or purchase of, any product, service, session, program, course, event, workshop, or other offering. 

While reasonable care is taken in providing services, educational materials, information, and resources, individual experiences and outcomes will vary. No specific personal, professional, financial, health, relationship, spiritual, or other outcome is guaranteed.

You remain responsible for your own decisions, actions, and choices following participation in any session, program, course, workshop, event, or other offering.

Nothing in these Terms excludes or limits liability, rights, or remedies where doing so would be prohibited by applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Amber S. Price from claims, losses, liabilities, or reasonable costs arising directly from your unlawful misuse of the Site, infringement of another person's rights, or material violation of these Terms. 

This provision does not limit any rights or remedies available to you under applicable law.

Force Majeure

Neither party will be responsible for a delay or failure to perform an obligation where the delay or failure results from circumstances beyond their reasonable control. 

These circumstances may include severe weather, natural disasters, public health emergencies, government actions, transportation disruptions, power or internet outages, venue closures, or other unexpected events that reasonably prevent a service, event, program, or engagement from proceeding as planned.

Where possible, reasonable efforts will be made to reschedule or provide an appropriate alternative. Any refund or credit will be determined in accordance with the applicable booking, program, event, or organizational agreement and applicable law.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. 

Nothing in this section limits any rights a consumer may have under applicable consumer protection or other laws that cannot legally be waived or restricted.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or severed to the extent necessary, and the remaining provisions will continue in full force and effect.

Changes to These Terms

These Terms may be updated periodically to reflect changes to our services, business practices, legal requirements, or other circumstances. 

Updated Terms will be posted on the Site with the applicable effective or “last updated” date. Where appropriate, material changes may also be communicated by email or another reasonable method.

Changes to these general Site Terms will apply from their effective date. They will not ordinarily alter specific contractual terms previously agreed to for an existing purchase, program, certification, event, or organizational engagement unless permitted by the applicable agreement or required by law.

We respect the privacy and confidentiality of information shared in connection with individual sessions and communications. 

Depending on the service provided, session-related information may include booking information, email or other direct communications, attachments, worksheets, documents, Zoom links, recordings where applicable, and information you voluntarily share during a session.

Personal information and session-related materials will not be sold or traded and will not be intentionally disclosed to others except:

• With your consent;
• Where reasonably necessary to provide or administer a service through an authorized service provider; or
• Where disclosure is permitted or required by law.

Where a session is recorded with permission, or a recording is provided as part of a service, the recording will be handled in accordance with this Privacy Policy and our Terms & Conditions.

Service Providers & Third Parties

We use third-party service providers and technology platforms to operate our business, provide services, process transactions, communicate with clients and participants, and deliver digital content. 

Depending on how you interact with us, personal information may be processed by or through service providers such as:

• Acuity Scheduling — appointment scheduling, registration, and booking information;
• Kajabi — website hosting, online courses and programs, digital resources, blog and podcast content, email campaigns, contact management, and related website and business services;
• Zoom — video sessions, online meetings, and recordings where applicable;
• Google services, including Gmail and Google Analytics — business communications, email correspondence, and website analytics used to help us understand how visitors interact with the Site;
• PayPal and Stripe — payment processing;
• Interac e-Transfer and participating financial institutions — payments made by e-transfer;
• Zapier — connecting business systems and automating certain administrative processes;
• Koodo and other telecommunications providers — telephone and text communications; and
• Other technology, hosting, payment, communication, security, or administrative service providers reasonably necessary to operate the Site and Services.

These providers may process personal information on our behalf or as part of providing their services to us. The information available to a provider will depend on the service being used and the nature of your interaction with us.

We do not sell or trade personal information.

Third-party service providers may have their own terms, privacy policies, security practices, and data-processing practices. Some providers may process or store information outside Ontario or Canada, where it may be subject to the laws of the jurisdiction in which it is processed or stored.

We take reasonable steps to select and use service providers appropriate for the nature of the information and services involved.

Payment Information 

Payments may be processed through third-party payment providers, including PayPal and Stripe, or through Interac e-Transfer and participating financial institutions.

When you make a payment through a third-party payment provider, payment and transaction information may be collected and processed directly by that provider in accordance with its own terms and privacy practices.

We may receive information necessary to administer the transaction, such as your name, contact information, transaction amount, payment status, transaction reference, and other information associated with the purchase.

We do not intentionally collect or store complete credit or debit card numbers through our own systems where payment is processed directly by a third-party payment provider.
